The VP Legal Affairs will actively contribute to overall corporate, finance, business development, and scientific strategies and their implementation, manage the legal function, and obtain and oversee the work of outside counsel.


Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters.
Shape and drive the IP strategy. Manage the company’s patent and trademark portfolio, work directly with outside counsel and provide guidance, direction and support to internal clients.
Capture new IP through working with the company’s scientists, collaborators and founders.
Lead IP diligence for potential licensing transactions.
Monitor and assess changes in the IP landscape.
Partner with business development team to negotiate business terms and execute agreements for strategic collaborations. Oversee drafting and execution of documents for financings.
Fully integrate as a member of multiple project teams and provide IP input on company projects.
Manage the day-to-day contracts in a timely manner.
Serve as Corporate Secretary and manage all corporate governance matters.
Essential Requirements:

J.D. required; MA Bar License preferred; at least 10-15 years of IP experience.
Ph.D. in related science (organic chemistry preferred).
Outstanding organizational skills.
Strong interpersonal and communication skills.
Strong writing skills.
Ability to be highly productive and flexible in a fluid and fast-paced work environment.
Preferred Requirements:

Previous experience at a national law firm and/or related industry desired.
Pharmaceutical/biotech experience and understanding of the business needs of life science companies preferred.
